1. The service
CNTXT_ is a shared memory layer for organisations, provided by Exponenture (Pty) Ltd, Cape Town, South Africa. It consists of an MCP connector that your AI tools read from and write to, and a dashboard for managing your organisation, its members, keys and content.
By creating an account or using CNTXT_, you agree to these terms on behalf of yourself and, where applicable, the organisation you represent.
2. Accounts and organisations
CNTXT_ is organised around organisations. Your organisation’s admins control membership: they invite and remove members, issue and revoke personal API keys, and set each member’s role. Your key identifies you — keep it confidential, and tell us immediately if you believe it has been compromised so we can rotate it.
You are responsible for activity under your account and keys, and for making sure the people you add to your organisation are entitled to see what they can see.
3. Acceptable use
Use CNTXT_ lawfully and reasonably. In particular, you may not:
- store or distribute content that is unlawful, or that you do not have the right to store;
- abuse the API — including circumventing rate limits or metering, scraping the service, or using it to build a competing service;
- attempt to access another organisation’s data, probe or test the security of the service without our written permission, or interfere with its operation;
- share your personal key, or use someone else’s.
We may suspend access that we reasonably believe breaches these terms, and will tell you when we do.
4. Your content
Your content is yours — always. Your organisation retains all rights to the memories, documents and goals it stores in CNTXT_. You grant us a limited licence to host, store, process and transmit that content solely to provide and support the service. The licence ends when the content is deleted.
We do not use your content to train AI models, and we do not sell it. Our Privacy Policy describes how content is processed and by which providers.
5. Service availability
We work hard to keep CNTXT_ available and fast, and we use reputable infrastructure to do so. However, ahead of general availability the service is provided without an uptime warranty or service-level commitment. We make reasonable efforts to give notice of planned maintenance and to restore service promptly after interruptions.
6. Fees
During the design-partner phase, fees are as agreed in your proposal. Pricing is subject to change; we will give you reasonable notice before any change takes effect, and changes never apply retroactively.
7. Termination
Either side may terminate: you can stop using CNTXT_ and ask us to close your organisation at any time, and we may terminate with reasonable notice (or immediately for material breach of these terms).
Before deletion, you can export everything you can see as documented JSON — see Your data. After termination we delete your organisation’s content, subject to any legal retention obligations.
8. Warranties and liability
CNTXT_ is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose and non-infringement. AI tools connected to CNTXT_ are operated by their own providers under their own terms.
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, and our total aggregate liability under these terms is capped at the fees your organisation paid us in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
9. Governing law
These terms are governed by the laws of the Republic of South Africa, and the courts of South Africa have jurisdiction over any dispute arising from them.
10. Changes to these terms
We may update these terms as the service evolves. If a change is material, we’ll notify you — by email or a notice in the dashboard — before it takes effect. Continuing to use CNTXT_ after that date means you accept the updated terms.
